Copyrighting infringement question?

I do stained gl and want to make a piece of an old school Batman magazine cover for my boyfriend. Obviously it won't be identical but it will be recognizable and use the "Batman" magazine title. Am I right in thinking that it is ok to "duplicate" the art and name into my own gl art as long as it is a gift and i'm not receiving money for it?...also I suppose if someone saw it and wanted to buy one (that happens quite often) i'd have to get permission from the magazine?? which is not likely to happen...could I leave off the title and modify the art somewhat and legally sell it? what are the rules....
